Hypotenuse Enterprises, Inc.

Leveraging her own corporate development experience, Diane C. Harris formed Hypotenuse Enterprises, Inc., a mergers and acquisitions advisory and consulting business, specializing in the niche of outsourced corporate development. Hypotenuse works closely with CEOs contemplating establishing growth programs, with corporate development heads and CFOs needing extra resources, and with corporate counsel searching for creative strategies to bridge the "negotiating gap." Hypotenuse works with companies through the entire deal process from developing criteria to post-deal integration.  Diane Harris is the principal lecturer at "The smART of the Deal" seminar presented regularly in various cities in the U.S. and Canada as both public and private sessions.

As Vice President of Corporate Development for more than a decade at Bausch & Lomb, Inc., Mrs. Harris created and launched that company's mergers and acquisitions program, implementing a major corporate restructuring program, divesting 25 operations which no longer fit the corporate strategies, and completing over 200 transactions (including 47 acquisitions) which provided half of Bausch & Lomb's growth every year for a decade.

Five new business sectors were entered and, as a result of emphasis on global strategies, 27% of the company's deals were cross-border. Divestitures and acquisitions alone accounted for over $1 Billion in transaction value. Mrs. Harris continues her transaction-related activities, by sourcing, negotiating and deal structuring on behalf of Hypotenuse's client companies, and has completed more than $500 million in additional transaction value at Hypotenuse Enterprises, Inc.

Mrs. Harris is a Phi Beta Kappa graduate of Catholic University and holds an M.S. degree from Rensselaer Polytechnic Institute. She is listed the last two times in Business Week's "Top 50 Women in Corporate America." She is recognized in Who's Who in America, Who's Who in Finance and Industry, the World Who's Who of Women, and Community Leaders of America. In 1995 she received the President's 21st Century Leadership Award from the Women's Hall of Fame, as well as the Meritorious Service Award from the Association for Corporate Growth. Mrs. Harris is a Director of Flowserve Corporation and Chair of its Audit Committee, and Past President of the Association for Corporate Growth.  She is also an expert witness in transaction-related disputes.

A well-recognized guest speaker on corporate growth, deal-making, and corporate development subjects, Mrs. Harris speaks internationally to corporate internal meetings, to conferences of organizations such as the Society of Competitive Intelligence Professionals, the Equal Employment Advisory Council, the National Association of Accountants, Financial Executives Institute, and as a Marquee Speaker for the Association for Corporate Growth. She is a significant contributor to articles in the Mergers and Acquisitions field, authoring "A Game Plan for Corporate Development," as part of the Mergers and Acquisitions Handbook, "M&A Policy: A Board Responsibility" for Directors Monthly, "Outsourcing and Consulting in Corporate Development Practice" for M&A Today, "Benchmarking the Corporate Development Function" and "Benchmarking the Corporate Development Compensation" for Network News, "Pre-deal Communications for Post-deal Success: The Role of CEO to CEO Communications" for International Merger and Acquisition Professionals (IMAP) and the M&A Insider, and "The Intermediary's Fee: Structuring and Collecting", for Network News, and "The Role of Phantom Due Diligence" for M&A Today, and "Behind the Boardroom Doors with Acquisition Decisions" for Director's Monthly, “Claiming More Clout” for Corporate Dealmaker.
